Lineup IQ Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and We Film Sh t LLC ("we", "our", "us") governing your use of the Lineup IQ application and website (the "Service"). By using Lineup IQ you agree to these Terms.

1. Eligibility

You must be at least 18 years old to create an account. If you are a parent or guardian, you may create an account and authorize your child to be linked to a team within your account, but the account itself must be held by an adult.

2. Your account

You are responsible for keeping your password secure. You are responsible for activity that happens under your account.

Notify us immediately at support@wfs.productions if you suspect unauthorized use.

3. Acceptable use

You agree not to:

Upload content that is illegal, infringing, abusive, or violates anyone's rights
Upload images of minors without proper parental consent
Use the Service to harass, threaten, or stalk anyone
Attempt to gain unauthorized access to other accounts or to our systems
Resell, sublicense, or commercially exploit the Service
Interfere with the operation of the Service

We may suspend or terminate your account if you violate these terms.

4. Content you upload

You retain all ownership rights in the content you upload to the Service, including rosters, photos, clips, lineups, and similar materials (collectively, "Your Content").

You hereby grant us a limited, non-exclusive, royalty-free, worldwide license to host, store, reproduce, display, process, and transmit Your Content solely as necessary to operate, maintain, secure, and improve the Service for you and your team. This license terminates when you delete Your Content or your account, except to the extent retention is required by law or for routine backup deletion processes.

You represent and warrant that:

You have all rights necessary to upload Your Content and to grant the license above
Your Content does not infringe any third party's intellectual property, privacy, publicity, or other rights
If Your Content includes images, videos, or personally identifying information of minors, you have obtained appropriate parental or guardian consent in accordance with applicable law and your league's policies

You may delete Your Content at any time through the in-app deletion controls. Deleted content is removed from active storage within thirty (30) days, subject to backup retention.

5. Pricing and free use

Lineup IQ is currently provided free of charge. We reserve the right to introduce paid features or subscription tiers in the future, with notice to existing users.

6. Service availability

We strive to keep Lineup IQ available, but we do not guarantee uninterrupted service. We may modify, suspend, or discontinue the Service at any time. We will provide reasonable notice for material changes.

7. Termination

You may delete your account at any time from the in-app Settings page.

We may terminate your access if you violate these Terms.

8. Disclaimer of warranties

LINEUP IQ IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE IS LIMITED TO THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THIS LIMITATION DOES NOT APPLY TO LIABILITY ARISING FROM OUR GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT, OR TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW (INCLUDING WITHOUT LIMITATION CERTAIN OBLIGATIONS UNDER MASSACHUSETTS CONSUMER-PROTECTION LAW).

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to defend, indemnify, and hold us harmless from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) Your Content; (c) your violation of any third party's rights, including intellectual property, privacy, or publicity rights; or (d) your failure to obtain required parental or guardian consent for any content you upload about a minor.

We will (i) provide you with prompt written notice of any covered claim, (ii) permit you to control the defense and settlement of the claim (provided that any settlement that imposes an obligation on us or admits fault by us requires our prior written consent, not to be unreasonably withheld), and (iii) provide reasonable assistance, at your expense.

11. Governing law

These Terms are governed by the laws of Massachusetts, without regard to conflicts of laws principles. Any dispute will be resolved in the state or federal courts located in Norfolk County, Massachusetts.

12. Changes to these terms

We may update these Terms. When we do, we will update the "Last updated" date. Material changes will be communicated by email.

Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Copyright complaints (DMCA)

If you believe content on Lineup IQ infringes your copyright, send a notice that complies with the Digital Millennium Copyright Act (17 U.S.C. § 512(c)) to:

Your notice must include: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the allegedly infringing material and its location; (c) your contact information; (d) a statement that you have a good-faith belief that use is not authorized; (e) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act on the owner's behalf; and (f) your physical or electronic signature.

We will remove or disable access to allegedly infringing material in accordance with the DMCA. We may terminate the accounts of repeat infringers.

14. Miscellaneous

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Service and supersede prior agreements on the same subject.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for failure to perform caused by circumstances beyond reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government action, internet or utility outages, or third-party service provider failures.
